GreetingCall.com Terms of Use Agreement

THIS DOCUMENT STATES THE TERMS AND CONDITIONS UPON WHICH GREETINGCALL.COM, INC. ("GreetingCall.com") OFFERS TO PROVIDE ("SERVICES") TO A REGISTERED USER ("USER"). PLEASE REVIEW THIS TERMS OF USE AGREEMENT BEFORE ACCESSING THE SERVICE.

GreetingCall.com reserves the right to monitor usage and suspend or limit service as deemed necessary at it sole discretion. User also agrees not to disable or bypass any functionality mechanisms on the Services. Services may be terminated if abused.

The User is solely responsible for the contents of User's account, and GreetingCall.com acts as a passive conduit for User's creation, editing, distribution and publication of greetings, announcements or other documentation or media. However, GreetingCall.com reserves the right to remove from its servers any profiles which it deems may result in a liability exposure for GreetingCall.com. GreetingCall.com does not assume any responsibility or liability for any content, opinions or materials available through third-party web sites or services.

User represents and warrants that the profiles displayed through User's account: do not infringe on any copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; do not violate any law, statute, ordinance or regulation, including without limitation those pertaining to export control, unfair competition, anti discrimination and false advertising; are not defamatory or trade libelous; are not obscene and are being distributed only to people legally permitted to receive such files; or do not contain viruses, trojan horses, worms, time bombs or other similar harmful or deleterious programming routines.

Users are responsible for obtaining access to GreetingCall.com Services. Access may involve third party fees (such as Internet, airtime or long distance charges). Users are responsible for those fees, including any associated with the display or delivery of advertisements. Additionally, Users must provide and are responsible for all equipment necessary to access Services.

GreetingCall.com reserves the right to modify or discontinue, temporarily or permanently, at any time and from time to time Services with or without notice. GreetingCall.com shall not be liable to users or to any third party for any modification, suspension or discontinuance of Services.

Notwithstanding anything to the contrary herein, GreetingCall.com may amend the terms applicable to the Services by either providing notice to User when User accesses User's account or in the form of a posting on the GreetingCall.com web site at www.voiceaccount.com. Such terms shall be automatically incorporated herein if User elects to use the Services after notice.

GreetingCall.com may discontinue offering the Services and cancel User's account at any time based on a notice in the form of a posting on the GreetingCall.com web site or direct phone/e-mail notification to User. It will be the sole discretion of GreetingCall.com to provide notice of discontinuance of services to User. GreetingCall.com reserves the right to delete accounts after ninety (90) days of inactivity.

Usage of all GreetingCall.com services are also covered under this agreement including all applicable copyright laws. Information, artwork, text, video, audio, pictures, software and other intellectual property (collectively, "Materials") contained on the GreetingCall.com website or other services are protected by copyright and international laws. . Users may not reproduce, distribute, publicly perform, publicly display, modify or create derivative works of the Materials, unless authorized by the appropriate copyright owner(s). Users may not link directly to any media file located on the GreetingCall.com website.

GreetingCall.com provides users with access to various mobile and online services, and media. User understands and agrees that the Service may include advertisements or communications from our partners and/or communications from GreetingCall.com, such as information regarding our various products and services. If users do not want to receive such information, users can opt-out from receiving such material. GreetingCall.com AND ITS PARTNERS PROVIDE THE SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND, EXPRESS OR IMPLIED. In particular, GreetingCall.com does not guarantee uninterrupted, secure or error free operation of GreetingCall.com servers. GreetingCall.com assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personal messages. Some States or other jurisdictions do not allow the disclaimer of implied warranties, so the above disclaimer may not apply. This warranty gives User specific legal rights and User may also have other legal rights which vary from jurisdiction to jurisdiction.

GreetingCall.com products and services may be used for lawful purposes only. Users shall not post or transmit any content or material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law, or which, without the express prior approval of GreetingCall.com, contains advertising or any solicitation with respect to products or services.

By using GreetingCall.com products or services users agree to release and hold harmless GreetingCall.com, it.s employees, officers, directors, shareholders, agents, or affiliates from any and all losses, damages, rights, claims and actions of any kind arising from or related to GreetingCall.com products or related services. In addition, users agree to defend, indemnify and hold GreetingCall.com harmless from any claim, suit or demand, including reasonable attorney's fees, made by a third party due to users violation or breach of these Terms and Conditions, violation of any rights of a third party, or any other user act or omission.

IN NO EVENT SHALL GreetingCall.com OR ITS PARTNERS BE LIABLE FOR LOST PROFITS OR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR BREACH OF CONTRACT OR WARRANTY OR FOR NEGLIGENCE OR STRICT LIABILITY) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES. Some States and legal jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.

User shall pay all sales, use, excise and other taxes arising from the User's use of the Services, except for any taxes customarily assessed to GreetingCall.com. Accounts will be terminated when any payments are 30 days in arrears.

This Agreement shall be governed in all respects by the laws of the State of Utah. Both parties submit to jurisdiction in Utah and further agree that any cause of action arising under this Agreement shall be brought in a court in Utah. If any provision of this Agreement shall be invalid, the validity of remaining provisions of this Agreement shall not be affected. This Agreement, as written in English, is the entire Agreement between GreetingCall.com and User with respect to the Services and supersedes all prior policies (whether written or oral) and other communications between GreetingCall.com and User with respect to such matters. It may be changed only in writing executed by an authorized GreetingCall.com representative, which can include a posting on the GreetingCall.com web site.
